Coolpepper Studio ("Coolpepper," "we," "us," "our") operates the website www.coolpepper.studio ("Site"). These terms of service ("Terms") govern your access to and use of our services, including design, digital marketing, website development, fractional Chief Marketing Officer (CMO) services, business consulting, and any other services offered by us (collectively, "Services").

Fractional CMO Services: We provide fractional CMO services on a retainer basis. Specific terms and deliverables for these services will be outlined in a separate agreement.
Business Consulting: Our business consulting services are available either on a retainer basis or as single projects, as agreed upon.

3. Fees and Payment Fees for our Services may vary depending on the type and scope of the project. All fees will be outlined in the service agreement or project proposal. Payment terms will be specified in each contract.

4. Use of the Site and Services You are responsible for your use of the Site and Services. You agree not to misuse our Services or help anyone else do so.

5. Intellectual Property All intellectual property rights in the Services, designs, and deliverables provided by us are owned by or licensed to Coolpepper. Upon full payment, we grant you a non-exclusive license to use the deliverables for the agreed-upon purpose.

6. Confidentiality Both parties agree to keep all proprietary information confidential, unless required by law to disclose. This confidentiality obligation shall survive the termination of our Services.

7. Termination We may terminate or suspend access to our Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms.

8. Limitation of Liability To the maximum extent permitted by law, Coolpepper shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

9. Indemnification You agree to indemnify and hold harmless Coolpepper and its officers, directors, employees, and agents from any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Services.

10. Changes to Terms We reserve the right to modify these Terms at any time. We will provide notice of these changes by posting the revised Terms to the Site and updating the "Last Updated" date.

11. Governing Law These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Coolpepper is located, without regard to its conflict of law provisions.
